From Fee Simple Land to Commercial Development

Many First Nation development projects begin well before the first commercial lease is signed.

A First Nation may first acquire land in fee simple with the intention of having that land added to reserve. The Addition to Reserve process brings the property within the reserve land framework and can open the door to future community, commercial and economic development.

Where reserve land is intended for commercial leasing, additional steps may be required, including designation of the lands. Depending on the proposed structure, the development may then involve a head lease, followed by commercial subleases, licences or other arrangements with businesses, developers and occupants.

We assist clients in understanding and navigating each stage of this process.

Commercial Designation and Head Leasing

Designation can be a critical step in making reserve lands available for long term commercial development.

We advise First Nations throughout the designation and leasing process, including the proposed commercial structure, appraisal and environmental requirements, community approval process, rent considerations, negotiation of the head lease and registration of the resulting interests.

Where a First Nation or its Economic Development Corporation will participate directly in the development, we can also advise on the corporate and commercial structure surrounding the project.

Commercial Subleasing

Once an appropriate head lease structure is established, individual sites or premises can be subleased to commercial tenants.

We regularly prepare and negotiate commercial subleases involving reserve lands and advise on matters including rent, construction and development obligations, permitted uses, assignments, financing, insurance, environmental matters, default provisions, renewals and other commercial terms.

Our commercial leasing experience allows us to approach these transactions as both reserve land matters and sophisticated commercial real estate transactions.

Licences and Other Land Use Arrangements

Not every use of First Nation land requires a conventional long-term lease.

Depending on the nature and duration of the proposed use, a licence or other land use arrangement may be appropriate. These arrangements can arise in connection with temporary commercial activities, access, utilities, infrastructure, construction, events and other uses of reserve lands.

We help clients determine the appropriate legal structure and prepare agreements that clearly establish the parties’ respective rights and obligations.

Registration and the Indian Lands Registry System

Proper documentation and registration are important components of reserve land transactions.

We assist with the preparation, review and registration of leases, subleases, assignments, amendments and other instruments through the Indian Lands Registry System and work with the parties and applicable government authorities to address registration requirements throughout the transaction.

Experience Across the Development Process

First Nation land development often involves numerous participants and interconnected legal issues.

We work with First Nation leadership and administration, Economic Development Corporations, Indigenous Services Canada, developers, commercial tenants, financial institutions, appraisers, environmental consultants, engineers and other professionals throughout the development process.

Our experience across commercial real estate, leasing, financing, corporate law and Indigenous economic development allows us to see the transaction as a whole rather than treating each stage as an isolated legal issue.
